Digital goods are non-refundable (We put the Fun in NO REFUNDS), licenses are bound to purchase, and Texas law applies.

Terms of Service

These Terms govern your access to and use of the M Media website, software, plugins, documentation, and related services. By using our Site or Software, you agree to these Terms.

1. Definitions

  • “Company,” “we,” “us,” “our” means M Media.
  • “Site” means mmediausa.com and related pages we operate.
  • “Software” means our downloadable tools and plugins (e.g., BIP39 Recovery Tool, Medigap Plan Grid, License Server) and their documentation.
  • “Services” means any hosted endpoints we provide (e.g., licensing API) and support.
  • “You,” “Customer,” “User” means the person or entity using the Site, Software, or Services.
  • “License Key” means a code that activates Software features subject to these Terms.

2. Acceptance & Eligibility

You must be at least 18 years old and able to form a binding contract to use our Software or Services. By accessing or using them, you accept these Terms on behalf of yourself and any entity you represent.

3. Changes To These Terms

We may update these Terms from time to time. The “Last Updated” date reflects the latest version. Material changes will be posted on this page; continued use after changes constitutes acceptance.

4. Orders, Pricing & Taxes

  • Orders are final when payment is processed by our payment provider (e.g., Stripe or Gumroad).
  • Pricing is listed at checkout and may change prospectively.
  • Taxes may be added as required by law and jurisdiction.
  • Refunds - digital goods are generally non-refundable. If you encounter issues, contact support and we will work to resolve them. This does not affect rights you cannot waive by law.
  • Chargebacks - initiating a chargeback without first contacting support may result in license revocation.
  • Fraud & Abuse - we may delay fulfillment, limit access, or revoke licenses pending anti-fraud checks.

5. Software License & Activation

Subject to payment and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your internal purposes, in accordance with the documentation and any usage limits stated at purchase (e.g., per-machine or per-site activations).

  • Activation - Software may require a License Key and online or offline activation. We may validate the key and device/site identity to enforce license terms.
  • Updates - we may provide updates, fixes, or new versions. Some updates may be required for security or compatibility.
  • Evaluation - trial versions are for evaluation only and may be time- or feature-limited.
  • Transfer - licenses are tied to the purchasing entity; resale or transfer is not permitted without written consent.
  • Self-Hosted License Server - where applicable, you may host the licensing component on infrastructure you control, subject to these Terms; you are responsible for uptime, security, backups, and lawful operation.
  • Usage Limits - we may enforce quantitative limits (e.g., activations, API calls) and suspend access if limits are materially exceeded.

6. Permitted & Prohibited Uses

  • No Circumvention - do not bypass, disable, or tamper with license, activation, or security mechanisms.
  • No Reverse Engineering - except to the extent expressly allowed by applicable law, you may not reverse engineer, decompile, or disassemble the Software.
  • No Unlawful Use - do not use the Software or Services for illegal, harmful, or infringing purposes.
  • Backups - you may make reasonable backup copies for disaster recovery as permitted by law.
  • High-Risk Use - the Software is not designed for life-support, nuclear, aviation, or other high-risk environments where failure could result in injury, death, or severe damage.
  • Fair Use - do not scrape, stress-test, or probe our Services except as permitted by documentation or a written agreement.

7. Support, Maintenance & EOL

  • Support - we aim to respond within one business day via support@mmediausa.com.
  • Maintenance - we release fixes and improvements at our discretion. Feature requests are not guaranteed.
  • Compatibility - we support current and recent versions of major platforms noted in the documentation.
  • End-Of-Life (EOL) - older versions may reach EOL; we will provide reasonable notice for material changes when feasible.

8. Privacy, Cookies & Data

We are privacy-first by design. Details are in our Privacy Policy and Cookie Policy. By using the Site or Software, you consent to the processing described there.

  • Analytics - we may use privacy-respecting analytics (e.g., GA4) as described in our Privacy Policy.
  • Diagnostics - Software may send minimal, anonymous telemetry or license pings to verify activation and improve stability; see product docs for controls.
  • Content - you are responsible for any data, configuration, or content you process with our Software.

9. Open Source & Third-Party Components

The Software may include components licensed by third parties under open-source or other licenses. Those licenses govern the third-party components. We provide notices and attributions where applicable.

10. Feedback

If you send ideas, suggestions, or feedback, you grant us a worldwide, royalty-free, perpetual license to use and incorporate them without restriction or compensation, without affecting your rights to use our Software.

11. Beta & Pre-Release Features

Beta or preview features are provided “as is,” may change or be withdrawn at any time, and may be subject to additional terms. They are intended for testing and feedback and may not be suitable for production.

12. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE, SOFTWARE, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

Some jurisdictions do not allow the exclusion of certain warranties, so some exclusions may not apply to you.

13. Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL M MEDIA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SOFTWARE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SOFTWARE, SERVICES, OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO M MEDIA FOR THE SOFTWARE OR SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS GREATER.

The limitations in this Section apply even if a remedy fails of its essential purpose.

14. Indemnification

You agree to defend, indemnify, and hold harmless M Media and our affiliates, officers, and employees from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your (a) use of the Software or Services, (b) breach of these Terms, or (c) violation of law or third-party rights.

15. Export Controls & Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to U.S. or other applicable export controls or sanctions. You agree to comply with all such laws, including the U.S. Export Administration Regulations (EAR) and OFAC sanctions programs.

16. Governing Law & Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Travis County, Texas.

17. Miscellaneous

  • Entire Agreement - these Terms, the Trust Center, applicable product documentation, and any order terms constitute the entire agreement.
  • Severability - if any provision is unenforceable, the remaining provisions remain in effect.
  • Assignment - you may not assign or transfer these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets.
  • Force Majeure - we are not liable for delays or failures due to events beyond our reasonable control.
  • Notices - we may provide notices via the Site, email, or your account (if applicable). You consent to electronic communications.
  • No Waiver - failure to enforce a provision is not a waiver of the right to do so later.
  • U.S. Government End Users - the Software is “Commercial Computer Software.” Use is subject to these Terms.
